Limited Use License – Authentically Human® Stamps

Limited Use License of the Subscription Authentically Human® Stamps:

The  proprietary stamps described in this Limited Use License (the “Authentically Human® Stamps” as further defined herein) have been developed and are owned by Authentically Human LLC and its affiliate, We’re Not Bots LLC (collectively hereafter “Licensor” ). Licensor will only provide individuals ( hereafter “Licensee” ) certain limited rights to use and/or display such Authentically Human® Stamps provided that such individual agrees to be bound by and subject to the terms of this agreement (the “Limited license”). 

By entering your email and other personal information and/or downloading, accessing, or copying one or more of the Authentically Human® Stamps described below from Authentically Human LLC, We’re Not Bots LLC or any of other website, material and/or social media site, you are automatically a Licensee hereby and your rights in or to such Authentically Human® Stamps are limited by the terms hereof, as the same may be amended from time to time by Licensor.

For purposes of this Agreement, the term “Authentically Human® Stamps” shall include the following Authentically Human® Stamps, in any color variations, and with, or without, text – as the same may be modified by Licensor and all derivations thereof: 

Authentically Human®

Trademarks:

The Authentically Human® Stamps are the proprietary, trademarked, intellectual property of Licensor and all rights not expressly granted Licensee are hereby reserved by Licensor. The limited personal use license being granted hereunder is limited to registered Licensees. Licensee will not acquire any ownership in the Authentically Human® Stamps and/or will not have any other rights to use or display the same except as expressly set forth herein, and the Authentically Human® Stamps shall not be shared with any other persons, companies or entities.

All trademarks, trade names, service marks, and logos on this site (Marks) are the property of the Licensor, our content providers, or other third parties.

To Register for a Limited Use License:

• Licensee must enter their email address to the Site to allow and register for a Download of a set of Authentically Human® Stamps, which may have a serial number attached to uniquely identify that set of Authentically Human® Stamps with their registration.
• By registering as a Licensee, Licensor hereby authorizes Licensee to use the Authentically Human® stamps subject to the following restrictions :
  • Licensee may only display the Authentically Human® Stamps in their original form. Licensee may not alter, modify, or change the Authentically Human® Stamps including but not limited to text, design, or metadata or use only limited portions thereof.
  • Licensee may not create any derivative work of the Authentically Human® Stamps or replicate the same.
  • Licensee may only use the Authentically Human® Stamps in the manner and for the purposes for which the Authentically Human® Stamps were developed and designed which purpose Licensee acknowledges is to identify whether the work created by Licensee contains any work created by artificial intelligence.
  • Licensee may only display the Authentically Human® Stamps in compliance with this Agreement in connection with any content and services created by the Licensee only – whether digital or hard copy.
  • Licensee’s right to use the Authentically Human® Stamps shall be for a term of 10 years of the registered download of the Authentically Human® Stamps.
  • Licensee may use of the Authentically Human® Stamps in compliance with this Agreement on a personal website owned by the Licensee, or a sole proprietor online storefront, which may or may not be part of another online site.
  • Licensee may use a printed copy of the Authentically Human® Stamps in compliance with this Agreement on any hard copies of their content – i.e. published book, printed materials, educational materials.
  • Printed materials, which include the Authentically Human® Stamps, may be sold at stores that also carry other products, from other artists or vendors.
  • Licensee may include the Authentically Human® Stamps in online marketing – i.e. Reels, TikTok, FB, etc – provided that the stamps are still being used for single use for their content or service, and not for other creators and are otherwise in compliance with this Agreement. For instance, the licensee can use the stamp on their own Reels videos, but is not permitted to allow Facebook to use the Authentically Human® Stamps for other Reels of any other members.
  • Licensee must directly add the Authentically Human® Stamps to any content or service, and may not at any time convey this right to any other online service and/or otherwise sublicense or transfer the license being granted hereunder.

• Registration DOES NOT convey the following rights:
  • Downloading a set of Authentically Human® Stamps DOES NOT convey unlimited use of the Authentically Human® Stamps for all sites. Use is for personal use only.
  • Use of the Authentically Human® Stamps on any streaming service is PROHIBITED – this includes, but is not limited to: music, audio, digital download, etc – i.e. Pandora, Spotify, iTunes, Kindle, Audible, etc.
  • Should the Licensee desire to have any Authentically Human® Stamp used on/by any streaming service, the Licensee should contact that streaming service and request that the service contact Authentically Human LLC to negotiate an enterprise license for the Authentically Human® Stamps, Corporate@AuthenticallyHuman.com .
  • Licensee may contact some of these Streaming services to request they contact us, through your own contacts with that service, or via the links below: (these links may change at any time by the service, and should be checked before contacting)

    • Kindle (This one is an email address and will open in your mail app!)

Warranty

The Authentically Human® Stamps are provided to Licensee on an “AS IS” and “WHERE IS” basis without warranty. Licensor does not make, and hereby specifically disclaims, and Licensee releases and waives, any and all warranties of any kind, express or implied, including, without limitation, warranties of merchantability, fitness for a particular use and purpose, non-infringement, title, or any warranty arising under statute or otherwise in law or from a course of dealing, course of performance, usage or trade practice. Licensee further agrees that Licensor’s total liability for damages for cause whatsoever arising out or relating to this Agreement or Licensee’s use of the Authentically Human Stamps regardless of the form of action, whether in contract, tort or otherwise shall be limited to the total amount of One and 00/100 Dollars (US$1.00).

Governing Law

These terms of use and Licensee’s use of the Authentically Human® Stamps is governed by the laws of the State of Ohio, without giving effect to its conflict of laws provision. To the extent permitted by applicable law, you consent to the jurisdiction of the courts located in Hamilton County, Ohio for any action arising out of this License Agreement.

Indemnification

Licensee shall indemnify, defend and hold harmless Licensor including Authentically Human LLC and We’re Not Bots LLC and their respective parent, affiliated and subsidiary companies and its and their respective members, managers, shareholder®s, directors, officers, employees and agents from and against any and all claims, liabilities, losses, judgments, awards, fines, penalties and costs and/or expenses of any kind, including, but not limited to, reasonable attorney’s fees and court costs, arising out of, resulting from or caused, either directly or indirectly, by: (i) Licensee’s breach or violation of these Terms; and/or (ii) Licensee’s use of, display of, and/or access to the Authentically Human® Stamps.

Limitations of Liability

EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAWS, YOU ACKNOWLEDGE AND AGREE THAT IN NO EVENT WILL AUTHENTICALLY HUMAN BE LIABLE OR OTHERWISE RESPONSIBLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL AND/OR PUNITIVE DAMAGES, FOR ANY REASON(S) OR FOR ANY CAUSE(S), REGARDLESS OF WHETHER AUTHENTICALLY HUMAN IS INFORMED OF THE POSSIBILITY THAT SUCH DAMAGES MAY EXIST.

ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF THE AUTHENTICALLY HUMAN® STAMPS AND/OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE.

Compliance with Applicable Laws

You acknowledge and agree that you will comply with all applicable international, national, Federal, state and/or local laws, codes, regulations, rules and/or requirements (“Applicable Laws”) regarding your use of, participation, in, and/or access to the Applications/Services.
